Welcome to GeoFlat, a real estate platform operating in Georgia. These Terms of Use ("Terms") govern your access to and use of the GeoFlat website, mobile application, and related services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms.

GeoFlat is an innovative platform that connects property buyers, sellers, and renters with certified real estate brokers in Georgia. We provide a secure environment for real estate transactions through verified brokers and comprehensive contract systems.

2. Definitions

• "Platform" refers to the GeoFlat website, mobile applications, and all related services.
• "User" means any person who accesses or uses the Platform.
• "Broker" refers to certified real estate professionals partnered with GeoFlat.
• "Property" means any real estate listed on the Platform.
• "Contract" refers to legally binding agreements facilitated through our Platform.
• "Services" includes all features, tools, and functionalities provided by GeoFlat.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem appropriate.

4. Platform Services

4.1 Property Listings

Regular users may publish properties on the Platform, but such listings automatically transfer to our verified brokers' management. All property listings are managed by certified brokers who verify mortgages, debts, and all property details, recording them in the listing. Property owners cannot sell directly from their own listings.

4.2 Broker Services

GeoFlat allows only verified brokers to register and work on the Platform. Brokers are responsible for verifying mortgages, debts, and all property details, recording them in listings. Brokers must guide buyers to justice and provide translation and documentation services. All property transactions must be conducted through our approved brokers to ensure security and legal compliance.

4.3 Virtual and Physical Visits

Users can schedule property visits through the Platform, including physical inspections, online viewings via video calls, and 3D virtual tours, all coordinated by brokers. Users can upload Matterport 3D models instead of regular photos for enhanced property visualization.

4.4 Contract Creation

The Platform facilitates the creation of detailed internal contracts between parties, which contain all information known to us including cadastral code, all utility codes, agreement terms, and all participant names with passport data. These contracts are legally binding once signed by all parties and witnessed by brokers. The contract is available in both buyer's and seller's personal accounts for printing and signing.

5. User Obligations and Prohibited Conduct

5.1 Compliance with Laws

You agree to comply with all applicable laws, regulations, and these Terms when using the Platform.

5.2 Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Attempt to bypass broker requirements for direct transactions
• Provide false or misleading information about properties or personal details
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without permission
• Violate any intellectual property rights
• Engage in fraudulent activities or money laundering

5.3 Content Standards

All content you submit must be accurate, lawful, and not infringe on others' rights. We reserve the right to remove any content that violates these standards.

6. Fees and Payments

6.1 Broker Commissions and Buyer Protection

Broker commissions are paid by property owners. All prices displayed on the Platform are set by property owners in agreement with brokers. GeoFlat does not add hidden fees to listed prices. Buyers are protected from hidden fees - the price displayed on the site is the price they pay. Brokers cannot request additional payments from buyers separately.

6.2 Additional Services

Additional services such as transfer services may incur extra charges as agreed between users and brokers.

6.3 Payment Processing

All payments for properties and services are processed according to the terms specified in individual contracts and Georgian law.

6.4 Broker Restrictions

All rules regarding brokers are specified in the Broker Rules section.

7. Intellectual Property Rights

The Platform and its content, including but not limited to text, graphics, images, logos, and software, are owned by GeoFlat or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Platform Availability

While we strive to maintain continuous service, the Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

9.2 Property Information

Property information is provided by brokers and property owners. While we work with certified brokers to ensure accuracy, we cannot guarantee the completeness or accuracy of all property details.

9.3 Limitation of Liability

To the maximum extent permitted by law, GeoFlat shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

10. Indemnification

You agree to indemnify and hold harmless GeoFlat, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Georgia.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with Georgian law, or in the courts of Georgia.
